Seller Terms & Conditions

These Seller Terms & Conditions ("Seller Terms") form an agreement between Buy More Mall Kenya ("we", "us") and any person or business that opens a shop, lists products or offers services on the marketplace ("Seller", "you"). By registering as a Seller you accept these Seller Terms, the Seller Policy, the Seller Legal Notice and our general Terms & Conditions.

Your seller account

• You must give accurate business and contact information and keep it up to date.
• You are responsible for everything done through your seller account, including by your staff. Keep your login details secure.
• One person or business may operate more than one shop only with our written approval.

Seller packages and listing limits

• Selling may require an active seller package. Packages set how many products you can list and for how long. Current packages, prices and limits are shown on the seller packages page and may change; changes do not affect a package you have already paid for.
• Package fees are paid in advance and are not refundable, including if you close your shop early, except where we end your package without cause.
• When a package ends, listings above the free limit (if any) may be hidden until you renew or upgrade.

Commission and fees

• We charge a commission on each completed sale. The commission rate is set per category and shown in your seller dashboard. Where no category rate is set, the default rate applies (currently 10% of the item price, excluding delivery).
• Commission is calculated on the amount the buyer pays for the item, after any discount you fund.
• Optional paid services, such as promoted listings or AI tools, are charged as shown when you buy them.
• We will give at least 14 days' notice before increasing commission rates, through the dashboard or by email.

Payments and payouts

• Buyers pay through the website (M-Pesa, card or other methods we offer). You must not ask buyers to pay you directly for items or services listed on the marketplace.
• Your payout for an order is the amount paid, minus commission, any refunds, and any other amounts you owe us.
• Payouts are released after the order is delivered and the return period has passed without a claim, to the M-Pesa number or bank account in your payout settings.
• We may hold payouts connected to orders under dispute, suspected fraud, chargebacks, or a breach of these Seller Terms until the matter is resolved.
• If refunds or chargebacks exceed your pending payouts, you must repay the difference within 14 days of our request.

Taxes and invoices

• You are responsible for your own taxes, including income tax, VAT where you are registered, and issuing eTIMS invoices where required by the Kenya Revenue Authority.
• Prices you list must include VAT where you charge it.
• We may deduct or withhold taxes from payouts where the law requires us to, and will give you the relevant certificates or statements.

Your content and licence to us

• You keep ownership of your product photos, descriptions and trademarks.
• You give us a non-exclusive, royalty-free licence, for as long as your content is on the marketplace and for a reasonable time afterwards, to display, resize, translate and use your content on the website, in search engines, in marketing and in our buying guides, in order to promote your products and the marketplace.
• You confirm that you have the right to use everything you upload, and that it does not infringe anyone else's rights.

Buyer data

You will receive buyers' personal data (such as names, phone numbers and addresses) to fulfil orders. You must use it only to fulfil the order and provide after-sales support, keep it secure, not share or sell it, and delete it when no longer needed, as required by the Data Protection Act, 2019. You must not use buyer data for marketing unless the buyer has separately agreed.

Your obligations

• Sell only products you are legally entitled to sell, that are genuine, safe and meet Kenyan standards.
• Fulfil orders, honour warranties and accept returns as set out in our Return & Refund Policy and Seller Policy.
• Comply with all laws that apply to your business (see our Seller Legal Notice).

Liability and indemnity

You are responsible for your products and services, including their quality, safety, labelling, installation and warranty. You agree to compensate us for losses, fines and reasonable legal costs we suffer because of your products, your content, or your breach of these Seller Terms or the law.

We provide the marketplace "as available". To the extent the law allows, we are not liable to you for lost profits, lost business, or indirect loss, and our total liability to you in any 12 months is limited to the commission and fees you paid us in that period.

Suspension and termination

Either party may end this agreement. You may close your shop as described in our Seller Right of Withdrawal. We may suspend or close a shop for serious or repeated breaches, fraud, sale of prohibited items, or where the law requires, as described in the Seller Policy. Obligations for orders already placed, refunds, amounts owed, data protection and indemnities continue after termination.

Changes and governing law

We may update these Seller Terms. We will give at least 14 days' notice of material changes. Continuing to sell after that date means you accept the updated terms.

These Seller Terms are governed by Kenyan law. Disputes will first be discussed in good faith, then referred to mediation, and failing that to the courts of Kenya.
